Terms of Service

1. Definitions

• "Service" means the GRCPro software platform, website, APIs, documentation, and support services we make available.
• "Customer" or "you" means the individual or organisation that registers for or uses the Service.
• "Customer Data" means data, content, and information submitted to or processed through the Service by or on behalf of Customer.
• "Subscription" means the plan, term, and fees agreed between the parties, whether online, by order form, or statement of work.

2. Eligibility and Accounts

You must be at least 18 years old and capable of entering a binding contract under Zimbabwean law. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account. You must provide accurate registration information and promptly update it if it changes. Notify us immediately of any unauthorised access at legal@grcpro.net.

3. The Service

GRCPro provides tools for governance, risk management, compliance, audit, incident management, reporting, and related enterprise GRC workflows. Features may vary by subscription tier. We may update, improve, or discontinue features with reasonable notice where practicable. Beta or preview features are provided "as is" and may be withdrawn at any time.

4. Acceptable Use

You agree not to:

• Use the Service in violation of any law or regulation applicable in Zimbabwe or your jurisdiction.
• Upload malicious code, attempt unauthorised access, or interfere with platform integrity or performance.
• Infringe intellectual property, privacy, or other rights of any person.
• Reverse engineer, decompile, or attempt to extract source code except where permitted by law.
• Resell, sublicense, or provide the Service to third parties except as expressly permitted in your Subscription.
• Use the Service to store or transmit unlawful, defamatory, or harmful content.

We may suspend or terminate access for material breach of this section.

5. Customer Data and Privacy

You retain ownership of Customer Data. You grant us a limited licence to host, process, transmit, and display Customer Data solely to provide and support the Service. Our handling of personal information is described in our Privacy Policy. Where we process personal data on your behalf, a data processing agreement may apply for enterprise customers. You are responsible for obtaining necessary consents and lawful bases for data you upload.

6. Fees and Payment

Subscription fees, billing cycles, and payment methods are specified at purchase or in your order documentation. Fees are quoted in United States dollars (USD) or Zimbabwe dollars (ZWL/ZWG) as stated at checkout, unless otherwise agreed in writing. Unless stated otherwise, fees are non-refundable. Late payments may result in suspension after notice. You are responsible for applicable taxes, levies, and duties in Zimbabwe.

7. Intellectual Property

GRCPro and its licensors own all rights in the Service, including software, branding, documentation, and underlying technology. These Terms do not transfer any ownership to you. You may provide feedback; we may use feedback without restriction or compensation.

8. Confidentiality

Each party agrees to protect the other's confidential information using reasonable care and to use it only for purposes related to the Service. This obligation does not apply to information that is public, independently developed, or lawfully obtained from a third party without restriction.

9. Warranties and Disclaimers

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation. GRCPro is a software tool; it does not provide legal, audit, or professional advisory services. You remain solely responsible for compliance decisions and regulatory outcomes.

10. Limitation of Liability

To the maximum extent permitted by Zimbabwean law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our aggregate liability arising from these Terms or the Service shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim, except where liability cannot be limited by law (including fraud or wilful misconduct).

11. Indemnity

You agree to indemnify and hold harmless GRCPro from claims arising from your use of the Service, Customer Data, or breach of these Terms, except to the extent caused by our gross negligence or wilful misconduct.

12. Term and Termination

These Terms remain in effect for the Subscription period and renew as specified. Either party may terminate for material breach if not cured within thirty (30) days of written notice. You may cancel in accordance with your Subscription terms. Upon termination, access ceases and we will delete or return Customer Data per our retention policy and any applicable agreement, subject to legal retention requirements.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Zimbabwe, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of Zimbabwe sitting in Harare, subject to any mandatory arbitration or alternative dispute resolution clause in a signed enterprise agreement.

14. General

• Entire agreement: These Terms, together with the Privacy Policy, Security page, and any order form, constitute the entire agreement regarding the Service.
• Assignment: You may not assign these Terms without our consent; we may assign in connection with a corporate transaction.
• Severability: If any provision is unenforceable, the remainder stays in effect.
• Force majeure: Neither party is liable for delays caused by events beyond reasonable control, including power outages, network failures, or government actions.
